About Greg

I'm Greg Waller. I’ve spent my career at the intersection of financial theory and business reality. I hold a Ph.D. in finance, taught M&A, corporate governance, and business valuation at the graduate level, and served as a tenured finance professor. But before — and during — all of that, I was running businesses: an industrial painting company, a real estate firm, and a manufacturing and distribution business my father started.

Today, I focus full-time on helping business owners, their advisors, and legal teams navigate complex valuation and M&A matters. Whether you're preparing to sell a $200 million company, need a defensible valuation for tax reporting or litigation, or want an expert who can communicate clearly in high-stakes situations, I bring both academic rigor and practical experience to the table.

What is “Sell-Side M&A Advisory?

In a Sell-Side M&A engagement, the advisor works with the business owner to help them market the company to the correct audience, obtain the highest offers for the company, and help the business owner navigate the due diligence and closing process.

Generally, there are two groups of buyers who buy companies. We call them “professional buyers” and “owner-operators”. Professional buyers include strategic buyers and private equity firms and owner-operators are individuals who are looking to buy a company that they can run.

The process of marketing a firm to professional buyers is much different than the process of marketing a company to owner-operators. Whether the “right” market for a company is the professional buyer or owner-operator market depends on the specifics of the company. Often, it is the case the smaller firms (below $1 million in EBITDA) are better suited for owner-operators and larger firms are better suited for professional buyers. Greg and his team specialize in selling companies to professional buyers but they have a network of affiliates and referral sources to help businesses for which owner-operators are the right audience.

When is a third-party valuation needed?

An experienced, credentialed business valuation professional is often needed to value privately held companies because, unlike publicly traded companies whose stock trades on exchanges, there is no pricing mechanism for private companies. We can’t see the price at which the stock is trading for private companies.

Some common reasons that business valuation professionals get engaged are:

- Partnership buy-outs

- Marital divorces, if a business is involved

- Litigation support

- IRS tax filings (estate tax, gift tax, charitable gifts, etc)
